You may not use any “deep-link”, “page-scrape”, “robot”, “spider” orother automatic device, program, algorithm or methodology, or any similar orequivalent manual process, to access, acquire, copy or monitor any portion ofthe Site (including our operator reviews, rankings, or ratings), or in any wayreproduce or circumvent the navigational structure or presentation of the Site,to obtain or attempt to obtain any materials, documents or information throughany means not purposely made available to you through the Site. You may notattempt to gain unauthorized access to any portion or feature of the Site, orany other systems or networks connected to the Site or to any server of AlbertaWager, by hacking or any other illegitimate means.

You may not probe, scan or test the vulnerability of the Site or anynetwork connected to the Site, nor breach the security measures on the Site orany network connected to the Site. You may not modify, reverse engineer,decompile, disassemble, reduce or attempt to reduce to a human-perceivable formany of the source code used in providing this Site, or exploit the Site or anyinformation made available or offered by or through the Site in any way wherethe purpose is to reveal any information, including but not limited to personalinformation, other than your own information, as provided for by the Site.

You agree that you will not take any action that imposes anunreasonable or disproportionately large load on the infrastructure of the Siteor Alberta Wager’s systems or networks, or any systems or networks connected tothe Site or to Alberta Wager’s associated entities.

You agree not to use any device, software or routine to interfere orattempt to interfere with the proper working of the Site, or with any otherperson’s use of the Site, including, but not limited to, by submitting a virusor any other harmful component to this Site, or by overloading, “flooding,”“spamming,” “mail bombing,” or “crashing” this Site. You agree not to use thisSite to send unsolicited email, including, without limitation, promotions oradvertisements for products or services. You also agree not to frame or utilizeframing techniques to enclose any aspect of this Site, such as any trademark,logo, or other proprietary information (including, but not limited to, images,text, page layout, or form), or to use any metatags or any other “hidden text” utilizingAlberta Wager’s name or trademarks without Alberta Wager’s express writtenconsent.

You may not forge headers or otherwise manipulate identifiers inorder to disguise the origin of any message or transmittal you send to AlbertaWager on or through the Site. You may not pretend that you are, or that yourepresent, someone else, or impersonate any other individual or entity.

You may not use the Site, including any content or materialscontained therein, for any purpose that is unlawful or prohibited by theseTerms, or to solicit the performance of any illegal activity or other activitywhich infringes the rights of Alberta Wager or others. Without limiting thegenerality of any terms or conditions set forth herein, in using the Site, youmay not transmit or solicit: (a) any unlawful, threatening, abusive, libelous,defamatory, obscene, vulgar, pornographic, profane or indecent information ofany kind, including images and language; (b) any message that constitutes, orencourages or incites conduct that would constitute, a criminal offense orgives rise to civil liability; or (c) any information, software or othermaterial which violates or infringes upon the rights of others, includingmaterial which is an invasion of privacy or publicity rights or which isprotected by copyright, trademark or other proprietary right, without firstobtaining permission from the owner or right holder. Any violation of AlbertaWager’s system or network security may subject you to civil and/or criminalliability.

3. Children

OURSERVICES ARE INTENDED FOR ADULTS AGES 18 AND OVER. USERS UNDER 18 YEARS OLD AREPROHIBITED FROM USING THE SERVICES FOR ANY PURPOSE. BY USING THE SITE OR THESERVICES, YOU REPRESENT THAT YOU ARE AT LEAST 18 YEARS OF AGE AND PHYSICALLYPRESENT IN ALBERTA.

4. Our Content

Intellectual Property Rights: Allphotographs, images, videos, graphics, trademarks, logos, designs, buttonicons, scripts, text, code, operator reviews, ratings and rankings, bettingsystems, betting percentages, odds, lines, and the arrangement thereof(collectively “Content”) is protected by the intellectual property laws ofCanada and/or other applicable countries or jurisdictions and is the propertyof Alberta Wager and its licensors.

Content: Except as expressly providedherein, nothing in these Terms shall be deemed to create a license or grant toour Content, and you agree not to sell, license, rent, modify, distribute,copy, reproduce, transmit, publicly display, publicly perform, publish, adapt,edit or create derivative works of any Content, including without limitationany materials or content accessible on the Site or through the Services.

Our License to You: Subject to theseTerms, we grant you a non-exclusive, non-transferrable, non-sublicensablelicense to use the Site and Services for your personal, non-commercial useonly. Alberta Wager may terminate this license at any time for any reason or noreason.

5.Copyright Infringement and Our Copyright Complaints Process

We have a policy of removing content that violates intellectualproperty law.

Canada’s Copyright Act uses a “notice-and-notice” regime. If youbelieve content on the Site is infringing your copyright, please providewritten notice to our Copyright Agent listed below.

•            contain a statement that theinformation in the written notice is accurate.

On receiving a valid notice, we will forward it to the party allegedto have infringed the copyright, in accordance with the notice-and-noticeregime under Canada’s Copyright Act, and retain records as required by law.Please do not send notices or inquiries unrelated to alleged copyrightinfringement to our Copyright Agent.

If you believe in good faith that someone has wrongfully filed anotice of copyright infringement against you, you may respond directly to uswith your own statement of good faith belief. Nothing in this section limitseither party’s rights or remedies under the Copyright Act or other applicablelaw.

6. Privacy

OurPrivacy Policy applies to use of this Site and the Services and is incorporatedby reference into these Terms of Service.

7. Indemnity

Youagree to defend, indemnify, and hold harmless Alberta Wager and its associatedentities and their officers, directors, employees, consultants, agents,licensors, and suppliers from and against any and all claims, losses, expenses,liabilities, settlements, litigation, damages, and/or costs (including, but notlimited to, reasonable legal fees and expert witness costs) arising out of orrelated to: (i) your use of the Site or the Services; (ii) any violation ofthese Terms of Service or applicable law by you in connection with your use ofthe Site or the Services; or (iii) any actual or alleged infringement by you ofany intellectual property or privacy or other right of any third party.

AlbertaWager reserves the right, at its own expense, to assume the exclusive defenseand control of any matter otherwise subject to indemnification by you at yourexpense, and you shall not in any event settle or otherwise dispose of anymatter without Alberta Wager’s prior written consent.

8. Disclaimer ofWarranties

You expressly agree that use of the Site and the Services is at yourown risk. We provide the Services on an “as is” and “as available” basis. Tothe maximum extent permitted by applicable law, we disclaim all warranties ofany kind, whether express or implied, with respect to the Site or the Services(including, but not limited to, the implied warranties of merchantability,fitness for a particular use or purpose, and non-infringement). Alberta Wagermakes no warranty that the Services will be uninterrupted, timely, secure, freeof viruses or other harmful components, error-free, or that defects will becorrected. We make no warranty as to the results that may be obtained from theuse of the Services, or as to the accuracy or reliability of any informationobtained through the Services, including our operator reviews, ratings, andrankings. You understand and agree that any material and/or informationobtained through the use of the Services is used at your own discretion andrisk. No advice or information, whether oral or written, obtained by you fromAlberta Wager or through the Services shall create any warranty not expresslymade herein. Alberta Wager makes no guarantees or representations regarding theaccuracy, reliability, or effectiveness of any wagering predictions or content.All predictions, reviews, ratings and rankings are our opinions only and arenot intended as recommendations. Users assume full responsibility for allbetting decisions made. Nothing provided on our Site should be interpreted asfinancial, legal, or betting advice. We disclaim all liability related tothird-party operator services and are not responsible for any financial orother outcomes that result from user actions, to the extent permitted byapplicable law.

Please be advised that once you leave the Site — for example, byclicking through to an operator’s site — your use of the internet will begoverned by the terms of service agreements and privacy policies, if any, ofthe particular site that you are accessing. Alberta Wager, its parents,partners, affiliates, subsidiaries, members, directors, officers, employees andagents will not be responsible or liable for the content, activities or privacypractices of the other sites, or any loss or damage that could result fromleaving the Site.

Nothing in this section limits any liability that cannot be excludedor limited under applicable Alberta or Canadian law.

9.Third-Party Links, Sites and Services

The Service may contain links to other websites, including thesportsbook and casino operators we review, that are not owned or controlled byAlberta Wager. Because Alberta Wager has no control over such sites, youacknowledge and agree that Alberta Wager is not responsible for theavailability of such external sites, and does not endorse and is notresponsible or liable for any content, advertising, products or other materialson or available from such sites. You understand that these Terms of Service andour Privacy Policy do not apply to your use of such sites. We encourage you tobe aware of when you leave the Site, and to read the terms and conditions andprivacy policy of any third-party website you visit, including any operator’sown terms and responsible-gambling tools.

10. Limitations ofLiability

In no event will Alberta Wager, its affiliates or parent companies,and each of their officers, employees, directors, shareholders, subsidiaries,agents, subcontractors or licensors be liable under any theory of liability(whether in contract, tort, statutory, or otherwise) for any unforeseeable,indirect, incidental, special, consequential, punitive or exemplary damages,including but not limited to, damages for loss of revenues, profits, business,business interruption, business opportunity, goodwill, use, data or otherintangible losses, resulting from your use of the Services. We will not beliable or responsible for any failure to perform, or any delay in theperformance of, any of our obligations under these Terms that is caused by anyevent or circumstances beyond our reasonable control, including any failure ofpublic or private telecommunications networks or any delays or latency due toyour physical location or your wireless data service provider’s network. In noevent shall our liability to you exceed one hundred Canadian dollars (CAD$100.00), except where such limitation is not permitted by applicable Albertaor Canadian law.

11. Rights to TerminateUse

You agree that Alberta Wager and its associated entities reserve theright, without prejudice to its other rights, to restrict, suspend or terminateyour access to the Site and/or Services at any time where Alberta Wager hasdetermined, in its sole discretion, that your use of the Site is, or was, inbreach of these Terms of Service.

You also agree that any violation by you of these Terms of Servicemay constitute an unlawful and unfair business practice and cause irreparableharm to Alberta Wager, for which monetary damages would be inadequate, and youconsent to Alberta Wager obtaining any injunctive or equitable relief thatAlberta Wager deems necessary or appropriate in such circumstances. Theseremedies are in addition to any other remedies that Alberta Wager may have atlaw or in equity.

12. Dispute Resolution

Our customer-service team can resolve most customer concerns quicklyand to the customer’s satisfaction. Please contact Alberta Wager CustomerSupport by email at contact@albertawager.com. If you are not satisfied withcustomer service’s solution (or if Alberta Wager has not been able to resolve adispute it has with you after attempting to do so informally), except for anydispute relating to our application for injunctive relief or our claimsconcerning intellectual property infringement, we each agree to resolve thosedisputes through binding arbitration in accordance with Section 13 below.

Any disputes expressly excluded from arbitration by this Section 12shall be resolved by the courts of the Province of Alberta, applying the lawsof the Province of Alberta and the laws of Canada applicable therein, withoutgiving effect to any choice-of-law rule that would apply the law of anotherjurisdiction.

13. Arbitration Agreement

Please read the following ARBITRATION AGREEMENT carefully because itrequires you to resolve certain disputes relating to us, the Services, or theSite through binding individual arbitration.

Pre-Arbitration Negotiations: If we areunable to resolve a dispute through the resolution methods set forth in Section12 above, you must send us written notice of the dispute, including: (a) yourfull contact information; and (b) detailed factual information so we mayevaluate the merits of the claim and the specific relief sought, to: AlbertaWager, Attn: Legal, [Registered business address]. Following our receipt ofsuch notice, we will attempt to resolve the dispute with you through informalnegotiation within sixty (60) business days (the “Negotiation Period”). At theend of the Negotiation Period, and not before, you may commence an arbitrationproceeding regarding that claim and only that claim in accordance with theseTerms.

Arbitration Rules; Applicability: Theparties shall use their best efforts to settle any dispute, claim, question, ordisagreement arising out of or relating to the subject matter of these Termsdirectly through good-faith negotiations, which shall be a precondition toeither party initiating arbitration. If such negotiations do not resolve thedispute, arbitration will be seated in Calgary, Alberta and administered underthe Arbitration Rules of the ADR Institute of Canada then in force, inconjunction with the rules set forth in these Terms, except that thearbitration shall be limited to the resolution only of individual claims andshall not proceed as a class, collective, or representative action. If there isa conflict between the ADR Institute of Canada’s rules and these Terms, theseTerms shall govern, and the arbitrator will be bound by these Terms. Thearbitrator, and not any court, shall have exclusive authority to resolvedisputes within the scope of this agreement, subject to any rights that cannotbe waived under Alberta’s Arbitration Act or the Consumer Protection Act. Anyarbitration hearings will be conducted by phone or videoconference to theextent possible, but if the arbitrator determines that an in-person hearing isrequired, it will take place in Calgary or Edmonton, Alberta. Judgment upon theaward rendered by the arbitrator may be entered in any court of competentjurisdiction in Alberta.

Class Action Waiver: To the extentpermitted by applicable Alberta and Canadian law, claims and disputes withinthe scope of this Arbitration Agreement must be arbitrated or litigated on anindividual basis and not on a class, collective, or representative basis.Nothing in this section is intended to override any right you may have underAlberta’s Consumer Protection Act or other applicable consumer-protectionlegislation that cannot be waived by agreement.

14. Your ConsumerRights in Alberta

Nothing in these Terms limits any right or remedy you have underAlberta’s Consumer Protection Act or other applicable Canadianconsumer-protection legislation. If you have a consumer-protection question orconcern that we have not resolved, you may contact Service Alberta (ConsumerContact Centre) for information about your rights.

15. Miscellaneous

Entire Agreement: These Terms constitutethe entire and exclusive and final statement of the agreement between you andus with respect to the subject matter hereof, and govern your use of theServices, superseding any prior agreements or negotiations between you and uswith respect to the subject matter hereof.

Transfer of Rights: You may not transferyour rights or obligations under these Terms to anyone else without our priorwritten consent.

Waiver and Severability: Our failure toexercise or enforce any right or provision of these Terms shall not constitutea waiver of such right or provision. If any provision of these Terms is foundby a court of competent jurisdiction to be invalid, the parties agree that thecourt should endeavor to give effect to the intentions of Alberta Wager and youas reflected in the provision, and that the other provisions of these Termsremain in full force and effect. If we do not immediately insist that you doanything you are required to do under these Terms, or if we delay in takingsteps against you with respect to your breach of these Terms, that will notmean that you do not have to do those things, and it will not prevent us fromtaking steps against you at a later date. Except as prohibited by applicablelaw, any claim or cause of action arising out of or related to use of theServices or these Terms must be filed within the limitation period set out inAlberta’s Limitations Act, or such claim will be forever barred.

Headings: The section titles in theseTerms are for convenience only and have no legal or contractual effect.

Survival: These Terms, including anydispute-resolution terms or limitations on liability explicitly set forthherein, shall remain in full force and effect notwithstanding any terminationof your use of the Site or the Services.
